These General Terms and Conditions (GTC) apply to the use of the online ordering system operated by

(hereinafter referred to as “Allclean”).
The online ordering system is intended exclusively for commercial distribution partners (distributors) of Lux International GmbH. Use by consumers is excluded.
These GTC exclusively govern the use of the online ordering system and the processing of orders placed through this system.
Use of the online ordering system requires a valid Licence and Distribution Agreement (“Distributor Agreement”) between the respective distributor and Lux International GmbH.
These GTC supplement the respective Distributor Agreement. In the event of discrepancies or conflicts between these GTC and the Distributor Agreement, the Distributor Agreement shall prevail.
Individual agreements with distributors remain unaffected.
Access to the online ordering system is granted exclusively through user accounts created internally by Allclean or the principal.
The distributor shall ensure that only authorized persons have access to the user account. Access data must be treated confidentially and must not be disclosed to third parties.
The distributor is responsible for all activities carried out via its user account.
The presentation of products in the online ordering system does not constitute a legally binding offer but an invitation to submit an order.
By submitting an order, the distributor makes a binding order. A purchase contract is only concluded upon written order confirmation or issuance of a pro forma invoice.
Allclean or the principal reserves the right to accept or reject orders in whole or in part, in particular depending on availability, production planning or delivery capabilities.
The transfer prices valid at the time of ordering, as defined in the applicable transfer price list and the distributor’s categorization under the Distributor Agreement, shall apply.
Prices and conditions displayed in the online ordering system are confidential and intended solely for the respective distributor.
Unless otherwise agreed, payment shall be made exclusively in advance based on the order confirmation or pro forma invoice within the stated payment period.
Order processing, delivery, invoicing and payment handling are carried out by Allclean in the name and on behalf of the principal.
Deliveries shall be made in accordance with the conditions agreed in the Distributor Agreement. Delivery times are non-binding unless expressly confirmed in writing.
Partial deliveries are permitted where reasonable.
All information accessible through the online ordering system, including but not limited to prices, product information, technical documentation, commercial conditions, availability information and other business-related information, shall be treated as confidential.
The distributor undertakes to keep all such information strictly confidential and not to disclose it to third parties or use it outside the scope of the contractual business relationship.
This obligation also applies to employees, representatives and any persons granted access to the system by the distributor.
The confidentiality obligation shall continue to apply after termination of the business relationship.
The distributor shall use the online ordering system exclusively within the scope of the existing business relationship and in compliance with the contractual agreements.
Any misuse of the system, in particular for obtaining or distributing confidential information, is prohibited.
Allclean shall be liable only for damages caused by intent or gross negligence. Liability for slight negligence is excluded unless essential contractual obligations are violated.
Mandatory statutory liability provisions remain unaffected.
German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction for all disputes arising from or in connection with these GTC shall be Leipzig, Germany, to the extent permitted by law.
Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
